Terms and Conditions (PLATFORM)

Please read these Terms and Services (“Terms”) carefully before using the SAYDAK Application (“App”) operated by Starting Vision Inc. (“us”, “we”, or “our”). By listing your daily catches on the App and engaging in any transactions through the App, you agree to be bound by these Terms.

1. Registration

To use the App, you must register and create an account (“Account”). During registration, you must provide accurate and complete information about yourself. You are responsible for maintaining the confidentiality of your Account credentials and for any activities that occur under your Account. You must notify us immediately if you suspect any unauthorized use of your Account.

2. User Conduct

By using the App, you agree to:

a. Use the App in compliance with all applicable local, state, national, and international laws, regulations, and treaties;

b. Provide accurate and up-to-date information about your daily catches, including species, quantity, and location of the catch;

c. Not use the App for any illegal or unauthorized purposes, including but not limited to, fishing in restricted or protected areas, overfishing, or violating fishing regulations and quotas;

d. Not engage in any activity that interferes with or disrupts the proper functioning of the App or the servers and networks connected to it;

e. Not use the App to transmit any form of spam, viruses, or other malicious software;

f. Not attempt to reverse engineer, decompile, or disassemble the App, or otherwise attempt to derive its source code;

g. Not use the App for any purpose that infringes upon the intellectual property rights, privacy rights, or any other rights of third parties;

h. Not manipulate or interfere with the information provided by other users, or misrepresent your affiliation with any person or entity;

i. Not engage in any fraudulent activity, including but not limited to, providing false information about your catches, creating fake accounts, or manipulating the App’s features to gain an unfair advantage;

j. Not engage in any activity that may be considered harassment, discrimination, or offensive behavior towards other users or Starting Vision Inc. staff;

k. Not resell, sublicense, or otherwise exploit the App for any commercial purposes without the express written permission of Starting Vision Inc.

3. Content and Intellectual Property

All content, including but not limited to, text, graphics, logos, images, and software provided on the App is the property of Starting Vision Co. or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws. Unauthorized use of any content may violate these laws and result in legal consequences.

4. Limitation of Liability

Starting Vision Inc., its affiliates, and their respective officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, or use, arising out of or in connection with your access, use, or inability to use the App, whether based on warranty, contract, tort, or any other legal theory, and whether or not Starting Vision Co. has been advised of the possibility of such damages. In no event shall the aggregate liability of Starting Vision Co. exceed the amount paid by you to use the App.

5. Indemnification

You agree to indemnify, defend, and hold harmless Starting Vision Inc., its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with your access to or use of the App, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

6. Termination

Starting Vision Inc. reserves the right to terminate your access to the App and your Account at any time and for any reason, including but not limited to, your violation of these Terms, fraudulent activity, or any other behavior that we deem harmful to the App or other users.

7. Modifications

Starting Vision Inc. reserves the right to modify these Terms at any time without prior notice. Your continued access or use of the App after such modifications have taken effect constitutes your acceptance of the modified Terms.

8. Governing Law

These Terms and any disputes arising out of or related to your access to or use of the App shall be governed by and construed in accordance with the laws of the jurisdiction in which Starting Vision Co. is registered, without regard to its conflict of law provisions.

9. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or your access to or use of the App, including but not limited to, the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration. The arbitration shall be administered by a reputable arbitration institution and conducted in the jurisdiction in which Starting Vision Inc. is registered. The number of arbitrators shall be one, and the language of the arbitration shall be English. The decision of the arbitrator shall be final and binding on the parties and may be entered as a judgment in any court of competent jurisdiction.

10. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be deemed replaced by a valid, enforceable provision that most closely matches the intent of the original provision.

11. No Waiver

No failure or delay by Starting Vision Inc. in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy, nor shall any single or partial exercise of any right or remedy prevent any further exercise of that right or remedy.

Terms and Conditions (FISHERMEN)

1. Registration and Account

Fishermen must register and create an account to list their daily catches and participate in transactions within the App. You are responsible for maintaining the confidentiality of your account information and ensuring that all information provided is accurate and up-to-date.

2. Listing and Pricing

When listing your daily catches, you must provide accurate information regarding the type of fish, weight, and other necessary details. You acknowledge that a 15% platform fee will be added to the prices you set for your fish, which will be visible to customers using the App.

3. Payment and Commission

Fishermen will receive their payments, minus the 15% platform fee, via bank transfer two weeks after the transaction. By accepting these Terms, you acknowledge and agree to the platform fees applied to your fish prices.

4. Rejected Orders and Delivery Fees

In the event that a customer rejects an order, the delivery fee of 20 Saudi Riyals will be sent to the fisherman after two weeks. You acknowledge that this delivery fee reimbursement policy applies to rejected orders only and is separate from the standard payment process.

5. Quality and Safety

You are responsible for ensuring that the fish you list on the App are fresh, safe for consumption, and comply with all applicable local and national regulations related to fishing and seafood products.

6. Disputes and Resolution

In case of disputes between you and a customer, you agree to engage in good-faith negotiations to resolve the issue. If necessary, Starting Vision Inc. may assist in the resolution process but is not responsible for the outcome of any dispute.

7. Modification and Termination

We reserve the right to modify these Terms and Services or terminate the App at any time without prior notice. Your continued access or use of the App after such modifications have taken effect constitutes your acceptance of the modified Terms and Services or the termination.

These Terms and Services and any disputes arising out of or related to your access to or use of the App shall be governed by and construed in accordance with the laws of the jurisdiction in which Starting Vision Inc. is registered, without regard to its conflict of law provisions.

By listing your daily catches and participating in transactions on the Starting Vision App, you accept and agree to these Terms and Services in their entirety. If you do not agree with these Terms and Services, please do not use the App.

Terms and Conditions (BUYERS)

Please read these Terms and Services (“Terms”) carefully before using the “SAYDAK” App (“App”) operated by Starting Vision Inc. (“us”, “we”, or “our”). Your access to and use of the App is conditioned on your acceptance of and compliance with these Terms. By accessing or using the App, you agree to be bound by these Terms.

1. Product quality, Pricing, Delivery, and Packaging

Starting Vision Inc. is not responsible for the quality of the product being delivered, the pricing of the product, the delivery, or the packaging the product is being delivered in. We do not guarantee the differentiation of the weight of the product.

2. Rejection of Delivery

If the customer wants to reject the delivery, they must do so at the time of delivery. Otherwise, it will be invalid, and no refund will be issued.

3. Refund

Refunds will be processed by Starting Vision Inc. within 2 weeks if the reason is deemed valid. If a buyer refuses delivery without a valid reason, no refund will be provided.

4. Health Issues

Starting Vision Inc. will not be held responsible if any health issues arise from consuming the product/fish.

Starting Vision Inc. is not responsible for the packaging of the product.

Your use of the App constitutes your acceptance of these Terms and Services. If you do not agree with these Terms and Services in their entirety, please do not use the App.

Terms and Conditions (SPONSORS)

Please read these Terms and Conditions (“Terms”) carefully before sponsoring the Saydak Magazine (“Magazine”) operated by Starting Vision Inc. (“us”, “we”, or “our”). By agreeing to sponsor and advertise in the Magazine, you accept and agree to be bound by these Terms.

1. Advertisement Placement

Sponsors will have a specific spot within the Magazine to advertise their brand and/or products. The advertisement placement will be determined by Starting Vision Inc. in accordance with the chosen sponsorship package.

2. Payment Terms

Saydak requires a minimum of six months of payment in advance for all sponsorship agreements. Payments must be made promptly and in accordance with the agreed-upon schedule.

3. Content Responsibility

Saydak is not responsible for the content or depiction of any advertisements posted by sponsors in the Magazine. Sponsors are solely responsible for ensuring their advertisements comply with all applicable laws, regulations, and industry standards.

4. Product Quality Disclaimer

Saydak is not responsible for the quality or performance of any products or services advertised by sponsors in the Magazine. Sponsors are solely responsible for ensuring the quality and reliability of their products or services.

5. Acceptance of Advertisements

Saydak reserves the right to accept or deny any advertisement submissions for the Magazine at its sole discretion.

6. Advertisement Changes

Sponsors must notify Saydak at least two months in advance if they wish to change the products or services being advertised in the Magazine. Changes are subject to approval by Saydak and may require additional fees or adjustments to the sponsorship agreement.

7. Advertising Format

The advertising spot will contain an animal, which will be used for the sponsor’s brand logo or identity, and surrounding bubbles for the sponsor’s products. The animal and bubbles will be designed in accordance with the Magazine’s aesthetic and the sponsor’s branding guidelines.

8. Sponsorship Categories and Pricing

There are three sponsorship categories, each associated with a specific animal and varying subscription prices. The categories are as follows:

– Whale: Premium sponsorship tier with the highest visibility and pricing.

– Killer Whale: Mid-tier sponsorship option offering a balance of visibility and pricing.

– Sharks: Entry-level sponsorship tier with the most affordable pricing.
